Terms of Service

1. The Earthlings Model

Earthlings is a technology platform that facilitates connections between Merchants (sellers), Riders (independent delivery providers), and Users (buyers).

• 0% Commission: Earthlings does not take a commission from Merchants or Riders. 100% of the sale price and delivery fee goes to the respective provider.
• Transaction Fee: Earthlings charges a transparent transaction fee to the User for each successful connection made through the Platform.

2. Nature of Services

Earthlings provides a communication and transaction platform. Earthlings does not provide delivery services, nor does it operate a retail business. All transactions and delivery agreements are entered into directly between the User, the Merchant, and the independent Rider.

3. Accounts

• You must be at least 18 years old to create an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate, current, and complete information during the registration process.

4. Merchant and Rider Logistics

• Pricing: Merchants set their own prices. Delivery rates may either set by user and user can set it to be either negotiable or not, or users may allow riders set their own delivery rates.
• Independent Contractors: Merchants and Riders are independent contractors and are not employees, agents, or partners of earthlings.
• Direct Negotiation: Users and Riders may negotiate delivery fees through the Platform. Once a fee is agreed upon, it is binding for that specific transaction.

5. Payments, Fees, and Currency

• Payments are processed through our third-party payment processors.
• Users agree to pay the Merchant's price, the Rider's fee, and the Earthlings transaction fee.
• Currency Exchange: If a User makes a payment using a currency other than those officially supported in the region of operation, the third-party payment gateway or the User's financial institution may apply exchange rate fees or conversion charges. These fees are beyond the control of Earthlings, and the User is solely responsible for such costs.
• All fees are non-refundable once the service has been initiated, unless otherwise required by local law.

6. Disputes and Resolutions

• Limited Mediation: As a connection platform, Earthlings' role in resolving disputes between Users, Merchants, and Riders is strictly limited. While we may provide tools for communication, Earthlings does not guarantee a resolution and is not an arbitrator.
• Independent Settlement: In the event of a dispute regarding product quality, delivery timing, or service performance, Users may be required to settle the dispute directly with the Merchant or Rider. Earthlings' decisions regarding platform access or internal flags are final but do not constitute a legal judgment on the transaction itself.

7. Conduct and Safety

Users, Merchants, and Riders agree to interact professionally and legally. Any form of harassment, fraud, or illegal activity will result in immediate termination of access to the Platform.

8. Limitation of Liability

To the maximum extent permitted by law, earthlings shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from:

• Your use or inability to use the Platform.
• The conduct of any third-party (Merchants or Riders) on the Platform.
• Any content or items purchased through the Platform.

9. Modifications to Terms

Earthlings reserves the right to modify these Terms at any time. We will provide notice of material changes. Continued use of the Platform after changes constitutes acceptance of the new Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the earthlings entity is registered, without regard to its conflict of law principles.
